ArtWork NetWork Limited - Terms & Conditions
    In these conditions, unless the context requires otherwise:
  a. "Buyer" means the company, client, firm, body or person purchasing the Services from ArtWork NetWork.
  b. "Contract" means a contract, subject to these conditions, for the provision of the Services between ArtWork NetWork and the Buyer.
  c. "ArtWork NetWork" means ArtWork NetWork (sole trader company) and any subsidiary or agent of ArtWork NetWork through which the Services are sold.
  d. "Order" means a purchase order in respect of the Services completed or agreed by the Buyer and submitted to ArtWork NetWork, together with all documents referred to in it.
  e. "Quotation" is an agreed piece of work (incorporating these conditions) provided by ArtWork NetWork to the Buyer in respect of the Services. No contract will come into existence until ArtWork NetWork's written acceptance or order form has been completed and signed on behalf of the Buyer and the order acknowledgement has been signed on behalf of ArtWork NetWork.
  f. "Services" means the subject matter of each Contract between the Buyer and ArtWork NetWork, being the work and/or services or any of them to be performed by ArtWork NetWork for the Buyer pursuant to the Order.
  g. "Standard Form" means ArtWork NetWork's standard form of Order.
1. General
  1.1 A Quotation shall not be binding on ArtWork NetWork and a Contract will only come into being upon acceptance by ArtWork NetWork of the Order by signing or counter signing the date of the order and returning it to a customer. Artwork Network may, at its discretion, accept a buyers confirmation to proceed with an order by email or letter or facsimile. Such acceptance is only on the basis that buyer be bound by these terms and conditions.
  1.2 The Contract will be subject to these conditions. All terms and conditions appearing or referred to in the Order or otherwise stipulated by the Buyer shall have no effect, unless such Order is in the Standard Form. Any variation to the Contract must be confirmed in writing by ArtWork NetWork.
  1.3 Quotations submitted by ArtWork NetWork shall remain open for acceptance by the Buyer for a period of 14 (fourteen) days from the date of the Quotation (unless in the Quotation some other period is specified) or when ArtWork NetWork withdraws the Quotation.
  1.4 These conditions shall, to the extent applicable, apply to goods and products in the same way as they apply to Services.
  1.5 The minimum length of any ongoing website services purchased will be 12 months.
2. Prices
  2.1 Where the Services are sold by reference to ArtWork NetWork's published price list or tariff structure, the price payable for the Services shall be the ruling price as provided in the price list or tariff structure current at the date of purchase.
  2.2 In other cases, the price for the Services shall, subject to clause 1.3 above, be that stated on the relevant Quotation/s.
  2.3 ArtWork NetWork shall (if applicable) add to the price of the Services, and the Buyer shall pay, an amount equal to any VAT or other sales tax or duty applicable from time to time to sales or supply of such Services.
  2.4 Any price changes will take effect from the 1st day of the month and the customer will be notified in writing 7 (seven) days before any price change takes effect.
3. Terms of Payment
  3.1 Subject to clause 3.2 the Buyer shall, at the time of submission of an Order to ArtWork NetWork, pay to ArtWork NetWork a non-refundable deposit for the Services specified on the Order of 35% of the value shown on the Order ("Deposit") followed by 35% upon the Buyers acceptance of the Website Design (excluding written or pictorial content)
  3.2 The Buyer may be required to pay a Deposit in respect of Optimisation or Web Hosting services.
  3.3 ArtWork NetWork shall invoice the Buyer for all Services (less any Deposits or Stage Payments) immediately on completion of the web Site.
  3.4 Unless otherwise agreed in writing by ArtWork NetWork and without prejudice to clauses 3.1 and section 4, invoices shall be payable by the Buyer immediately upon completion of the relevant Web Site to which the invoice relates.
  3.5 The Buyer shall make all payments due to ArtWork NetWork in accordance to clause 4 and all sub clauses therein.
  3.6 If the Buyer fails to pay any amount due to ArtWork NetWork under this Agreement on the relevant due date, default interest at the rate specified by the Late Payment of Commercial Debts (Interest) Act 1998 shall be added to such amount for the period from the day after the due date until the date of receipt (whether before or after judgment in a court of law) together with any reasonable and proper amounts incurred by ArtWork NetWork in seeking to recover such late payment from the Buyer (including, without limitation, legal fees). A charge of £7.50 for each email sent and £7.50 for each telephone call made requesting payment will apply. These charges are to cover our time and costs.
  3.7 All print orders are strictly pro-former unless agreed otherwise in advance by Artwork NetWork. Said agreement to be in writing and by email or facsimilie
  3.8 All design orders payments are 50% deposit with the balance upon completion unless agreed otherwise in advance by Artwork NetWork. Said agreement to be in writing and by email or facsimilie
  3.9 In the event that a Buyer fails to make outstanding payment/s for website/s, hosting, hosted databases, IT services or other items provided by ArtWork NetWork, all items provided may be suspended or disabled or withheld without further notice, until all outstanding payments are made in full.
    3.9.1 ArtWork NetWork reserves the right to suspend or discontinue any other services supplied to the buyer if payments remain unpaid, despite ignored requests for payments.
    3.9.2 ArtWork NetWork will pursue ALL unpaid accounts through the courts. Successful judgements will be followed up with prompt collection action, winding up notices and any other legal action to secure settlement. In the case of any courts or collection action ALL costs will due from the client.
    3.9.3 ArtWork NetWork will give due consideration without prejudice to short term stage payments to avoid legal action.
4. Deposits, Stage Payments and Balance Payments
  4.1 ArtWork NetWork process deposit, stage payments as detailed in 4.1.1.
    4.1.1 ArtWork NetWork will only accept payments via: bank to bank transfer, cheque's & postal orders made payable to Artwork Network, cash, other payment methods approved at the time.
    4.1.2 ArtWork NetWork will only commence and continue work on receipt of cleared payments as specified in clause 4.1.1.
  4.2 ArtWork NetWork charge a 35% deposit before any work is started. This charge is non refundable.
  4.3 ArtWork NetWork charge Stage Payments. These will be detailed in ALL written quotations.
  4.4 Payments are due at the time/s specified in the written quotations and/or invoices.
5. Website Design, Stationary & Printed Media Design and Graphic Design
  5.1 The buyer unconditionally guarantees that any element of text, graphics or other artwork furnished to ArtWork NetWork for inclusion in the web design, branding or stationary print project are owned by the buyer, or that the buyer has written permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend ArtWork NetWork and it's subcontractors from any claim or suit arising from the use of such elements furnished by the buyer.
  5.2 All creation files remain the intellectual property of ArtWork NetWork on completion of a web design project.
  5.3 ArtWork NetWork shall be free to reproduce, use, disclose, display, exhibit, transmit, perform, create derivative works, and distribute any item from the buyer's web pages or stationary print project unless specifically agreed to do otherwise.
  5.3.2 Further, ArtWork NetWork shall be free to use any ideas, concepts, know how or techniques acquired in the construction of web sites or stationary print project for any purpose whatsoever including but not limited to developing, manufacturing and marketing products and any other items incorporating such information unless specifically agreed otherwise.
  5.3.3 Design Work will only commence after the client has agreed rates and specification. ArtWork NetWork will not enter into producing draft designs where another company is doing the same. We require our clients to choose ArtWork NetWork based upon previous work.
  5.4 Content Management System (CMS) Websites. ArtWork NetWork utilises a Content Management System by CMSMS (Content Management System Made Simple) which is 'Open Source', you agree by purchasing an ArtWork NetWork CMS system Powered by CMSMS, to indemnify ArtWork NetWork of failures or problems with the CMS and any associated modules and plug ins.
  5.5 ArtWork NetWork will do it's utmost to rectify any problems or issues caused by the use of the CMS and will do so at no cost to the customer provided that the fault is that of ArtWork NetWork.
  5.6 If issues or problems with the CMS are caused by modifications (intentionally or accidentally) made by the Buyer or the Buyer's employees or servants, ArtWork NetWork will assist at the normal hourly rate published in the Buyers rates document. The Buyer further indemnifies ArtWork NetWork against any losses what-so-ever caused by said modifications.
  5.7 ArtWork NetWork will provide initial training of the use of the CMS admin panel for Editor Usage ONLY. The cost of said training is included in the purchase of a CMS website.
  5.8 ArtWork NetWork can offer additional training to Designer level to individuals who already have a basic grasp of HTML and CSS. The cost is at the normal hourly rate published in the Buyers rates document.
  5.9 CMS System Updates and Module/Plugin's or Add On's. From time to time, CMSMS provide updates to the CMS. ArtWork NetWork will update the Buyer's CMS or add in Modules and Plug ins to enhance the CMS. This is charged at the hourly rate current at the time of said Update/s Module/Plug in Add On's.
  5.10 During CMS Updates or Module/Plugin or Add On's a small amount of Website Downtime can be experienced. The Buyer knowingly agrees to indemnify ArtWork NetWork of any losses caused by said downtime. Furthermore, although the risk is small, the Websites Search Engine Rankings (SER) may also be affected. The Buyer indemnifies ArtWork NetWork from any losses caused by said SER.
  5.11 A Buyer is fully responsible for ALL content displayed in a CMS Website unless the Buyer has commissioned ArtWork NetWork in part or in whole to publish the content to the CMS Website Pages. In such cases, clauses 11.1 to 11.3 apply.
  5.12 CMS Backup. Database, Content, Images, Login/s Data, Stylesheets, Templates, Global Content Blocks, News Articles all require a backup in the event of failure of the CMS. ArtWork NetWork will backup ALL templates, Stylesheets, Initial CMS Website Images and Global Content Blocks at the time of publication of the CMS Website. Any subsequent modifications may make these backup's obsolete in part or in whole. It is therefore recommended that the Buyer keep adequate backup of all data and image changes, together with a complete record of all Login data for ALL persons granted access to the CMS, made by the Buyer or it's employees and servants.
  5.13 In the event that the Buyer dismisses an employee or servant. The buyer MUST immediately delete access to said employee or servant. In the event of a security breach caused by a lapse in the Buyers security, ArtWork NetWork will delete ALL user names and passwords and also change the Administrator User Name and Password. New user names and passwords will be issued as quickly as possible. It is good practice for the Buyer to exercise prudence when granting access to a CMS by employees or servants and to only allow access to limited areas.
  5.14 In the use of User Names & Passwords, it is good practice to not use simple phrases. A non associated User Name combined with an alpha-numeric password of 8 characters or more is a wise precaution. ArtWork NetWork CANNOT accept any responsibility for hacking of the CMS. User Name example... Real Name = John Smith. User Name 'Green Cortina'. Password example 3ComMeRc3 = High Strength. Any letters (upper/lower case) numbers, symbols, spaces can be used.
  5.15 If a user forgets their access, ArtWork NetWork or an approved admin user of the Buyers can reset the relevant access data.
  5.16 Printing & Proofing. Proofing of lithographic or digital reproductions can only be done at additional cost. Artwork Network is able to provide printing services at such low cost as a direct result of providing image proofing digitally and not printed. The costs of setting up machines that are continuously operating to print single items is prohibitive. Consequently, the client must understand that there may be some slight variation in the printed works in respect of shading, colour & contrast. These differences will be slight but sometimes unavoidable.
  5.17 Images for print that are provided to us in RBG format may change very slightly when converted to CMYK format.
  5.18 Due to white printing media being occasionally provided in slightly varying shades of white and or slight variances in composition or makeup, there will occasionally be slight changes in the shading, stiffness, colour & contrast of white paper or card. Also, Gloss white will vary from Satin white etc.
  5.19 By accepting a digitally provided proof or providing your own artwork for printing and authorising Artwork Network to proceed with printing is to accept the terms detailed in 5.16, 5.16 & 5.18.
6. Website Optimisation (SEO)
  6.1 Whilst ArtWork NetWork will try to improve the position of your website in Search Engine Result Pages (SERP's) in response to a search request, we do not warrant that this effort is in any way guaranteed.
  6.2 ArtWork NetWork cannot be held responsible for any changes to the position of your Web Site in the SERP's in response to a search via a search engine.
7. Website Services
  7.1 ArtWork NetWork are registered Reseller Partners for domain name registration, website hosting and mailboxes through or 1 and 1 Internet. The registration of a domain name, hosting of a website or registering of mailboxes on behalf of the buyer is subject to the terms and conditions of these businesses on their individual websites.
  7.2 ArtWork NetWork will accept no liability for any financial loss resulting from a domain name not being renewed.
  7.3 ArtWork NetWork shall have no liability arising from any financial loss arising from any registered mailbox not being available.
  7.4 In the event of no or limited access to email services, Artwork Network will endeavour to restore said email services as quickly as possible. We accept no liability for loss of email service due to issues or problems with 1 and 1 Internet Limited mail servers
  7.5 A charge of £15.00 will be charged for any .co.uk domain transfer and £25.00 will be charged for any .com/.net/.org/.org.uk/.co domain transfer. A domain will only be transferred once all transfer fees are paid in full as well as any other outstanding balance/s owed to ArtWork NetWork.
  7.6 Transferring CMS websites to servers not provided by Artwork Network will incur a fee of £50.00 (payable in advance) to cover all preparation of files and databases ready for a new provider to install and configure the website on said new server. Artwork Network do NOT accept responsibility for any downtime suffered during transfer. Additional charges may apply in the event that our services are required to assist a new provider to set up the website on their servers. Our rate is £40.00 per hour. A minimum of £40.00 will be charged in such cases.
8. Ecommerce Website Services
  8.1 ArtWork NetWork supply E Commerce Services via various agents such as (but not limited to) Pay Pal, Sage Pay, RBS Worldpay etc. The buyer is subject to the terms and conditions of these businesses on their individual websites and for all transactions secured by said providers.
  8.2 ArtWork NetWork will accept no liability for any financial loss resulting from the use of any E Commerce website transactions.
9. Warranty and Limit of Responsibility
  9.1 ArtWork NetWork acknowledges and agrees that it shall perform the Services:
    9.1.1 With reasonable skill and care; and
    9.1.2 in accordance with good industry practice.
  9.2 The Buyer acknowledges and agrees that ArtWork NetWork shall have no liability to the Buyer in respect of the positioning within search engine listings of the Buyer's Web Site.
  9.3 The Buyer's remedies in respect of any claim under the foregoing express warranty or any condition or warranty implied by law or any other claim in respect of the Services or Web Site or any workmanship in relation to them (whether or not involving negligence on the part of ArtWork NetWork) shall, in all cases, be limited to re-performance of the Services or refund of the relevant purchase price.
  9.4 ArtWork NetWork shall not in any circumstances be liable to the Buyer for any indirect or consequential losses or any loss of profits purported to have been suffered by the Buyer in relation to services or products provided by ArtWork NetWork or any sub contractors or agents used by ArtWork NetWork.
  9.5 ArtWork NetWork shall not be liable for any failure in the performance of any of its obligations under the agreement caused by factors outside its control including but not limited to server hosting.
10. Delivery & Completion Dates
  10.1 ArtWork NetWork undertakes to use its reasonable endeavours to provide completed Services to the Buyer within 30 days of the date on which ArtWork NetWork receives a signed Order from the Buyer.
  10.2 The dates for carrying out the Services and delivery of any resultant Web Site are approximate only and, unless otherwise expressly stated, time is not of the essence for delivery or performance.
  10.3 ArtWork NetWork will not be liable in any circumstances for the consequences of any delay in delivery or performance or failure to deliver or perform save where the same is as a result of the negligence of ArtWork NetWork.
  10.4 No delay (unless material) shall entitle the Buyer to reject any delivery or performance or any other Order from the Buyer or to repudiate the Contract or the Order.
11. Responsibility for Approving the Website
  11.1 The Buyer acknowledges and agrees that ArtWork NetWork shall produce the Web Site, Branding, Graphic Design etc. based on information provided to it by the Buyer.
  11.2 Notwithstanding clause 4.1, it shall be the responsibility of the Buyer (and not ArtWork NetWork) to review and approve the content of the Web Site, Branding, Graphic Design etc. (including, without limitation, the spelling of names and addresses and the accuracy of telephone numbers) at the time of the completion of such Web Site, Branding, Graphic Design etc. by ArtWork NetWork to the Buyer for approval by the Buyer.
  11.3 ArtWork NetWork shall have no liability to the Buyer for any inaccuracies in the Web Site if and to the extent that the Buyer has failed to review and/or approve (or require amendment (as the case may be)) provided to the Buyer by ArtWork NetWork pursuant to this Agreement.
12. Termination
  12.1 ArtWork NetWork may terminate the Contract immediately in the event that the Buyer is in breach of its obligations under the Contract and/or the Buyer suffers any event of insolvency or is or becomes unable to pay its debts as they fall due.
  12.2 ArtWork NetWork may at its discretion suspend or terminate (without notice) the supply of any goods and services if the buyer fails to make any payment when due or otherwise defaults in any of its obligations under the contract or any other agreement with ArtWork NetWork or becomes insolvent, has an administrative receiver appointed of its business or is compulsorily or voluntarily wound up or ArtWork NetWork bona fide believes that any of those events may occur and in any case of termination may forfeit any monies paid.
  12.3 ArtWork NetWork may by written notice terminate the Agreement immediately and without liability for compensation or damages except as mentioned in this agreement if the Buyer fails to make payment as specified above.
  12.4 Any contract cancelled during the first twelve (12) months will incur a penalty charge of £200.
13. Third Party Claims
  13.1 The Buyer shall indemnify ArtWork NetWork and keep ArtWork NetWork indemnified from and against any and all actions, costs (including, without limitation, the cost of defending any legal proceedings), claims, proceedings, accounts and damages in respect of any infringement or alleged infringement by a third party of any patent, registered design, unregistered design, design right, copyright, trade mark or other industrial or intellectual property rights resulting from compliance by ArtWork NetWork with the Buyer's instructions, whether expressed or implied.
14. Assignment & Sub-Contracting
  14.1 None of the rights or obligations of the Buyer under the Contract may be assigned or transferred in whole or in part without the prior written consent of ArtWork NetWork.
  14.2 The Web Site, Branding, Graphic Design etc. shall be for the sole use of the Buyer and shall not be capable of assignment to a third party by the Buyer.
  14.3 ArtWork NetWork shall be entitled to sub-contract any work relating to the Contract without obtaining the consent of, or giving notice to, the Buyer.
15. Notices
  15.1 Any notice or other communication to be given under these conditions must be in writing and may be delivered or sent by prepaid first class letter post or facsimile transmission or email transmission.
  15.2 Any notice or document shall be deemed served: if delivered, at the time of delivery; if posted, 48 hours after posting; and if sent by facsimile transmission, at the time of transmission.
    15.2.2 If sent by email, a further copy will be by facsimile transmission or posted and is the subject to clause 15.2.
16. Invalidity
  16.1 The invalidity, illegality or un-enforceability of any provision of these conditions should not affect the other conditions.
17. Third Party Rights
  17.1 A person who is not party to this agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement. This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.
18. Law & Jurisdiction
  18.1 The Contract shall be governed by and construed in all respects in accordance with English law and the parties hereby submit to the exclusive jurisdiction of the English courts.
